Terms of Service

Please read these Terms carefully. They form a binding agreement between Tangible Spin LLP, operating as TVshuru ("TVshuru", "we", "us" or "our"), and the person or organisation accessing or using the Services ("you" or "Customer").
If you accept these Terms for an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not access or use the Services. An Order Form may add or vary commercial terms for a specific Customer.

1. Agreement and definitions
These Terms, each applicable order form, statement of work, proposal or online subscription selection accepted by TVshuru (each an "Order Form"), and any documents expressly incorporated into them form the "Agreement". If there is a conflict, an Order Form prevails for its specific subject matter, followed by any data processing agreement, these Terms, and then other incorporated policies.
"Services" means the TVshuru hosted platform, administrative console, television and device applications, Signage, Queue, Hotel, Care, event products, implementation, support, analytics, content administration and related services identified in an Order Form. "Authorised Users" means Customer personnel and contractors whom Customer permits to use administrative features. "End Users" means guests, patients, visitors, customers or other people who interact with a Customer-facing screen or workflow.
2. Services and scope
TVshuru will provide the Services described in the applicable Order Form. Standard scope may include platform configuration, content setup, device or room binding, agreed workflows, deployment support, hosting, analytics, support and ongoing optimisation. Integrations, hardware, custom development, on-site work, third-party services, additional properties or locations, and material redesigns are excluded unless expressly included.
Features may vary by product, plan, region, device, integration and Customer configuration. No description on our website expands a committed scope, service level or warranty unless incorporated into an Order Form.
3. Access, accounts and permitted use
Subject to the Agreement and payment of applicable fees, TVshuru grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Services for Customer's internal business operations and to make configured experiences available to End Users at authorised locations and devices.
Customer will keep administrative credentials secure, restrict access to Authorised Users, promptly disable access that is no longer required, and notify TVshuru of suspected unauthorised use. Customer is responsible for activity under its accounts and for its Authorised Users' compliance with the Agreement.
End Users may be able to browse certain experiences without an account. Booking, payment, confirmation, health-related or other private workflows may continue on a phone or third-party service selected by Customer.
4. Customer responsibilities and acceptable use
Customer will provide timely access to systems, devices, networks, APIs, brand assets, content, menus, pricing, locations, operational workflows, personnel and decisions reasonably required to deliver the Services. Customer is responsible for its network, compatible equipment, internal approvals, staff training and operational fulfilment unless an Order Form states otherwise.
Customer, Authorised Users and End Users must not:
- use the Services unlawfully, fraudulently, to harm others, or to infringe privacy, intellectual-property or other rights;
- upload malicious code or content, probe or bypass security, disrupt the Services, or gain unauthorised access;
- reverse engineer, decompile, disassemble, copy or derive source code from the Services except where applicable law expressly permits it;
- resell, sublicense, lease or provide the Services to a third party except as expressly permitted in an Order Form;
- remove proprietary notices or use the Services to build or benchmark a competing product without written permission; or
- use the Services for emergency communication, diagnosis, treatment or other safety-critical purposes for which they are not designed.
5. Implementation, integrations and change requests
Implementation dates are estimates unless expressly stated as binding. They depend on Customer cooperation, device and network readiness, third-party access, API availability, content approval and timely decisions. Delays caused by Customer or third parties may move the launch date and may result in additional fees.
A request outside the agreed scope - including a new integration, product, property, location, workflow, substantial redesign or bespoke development - may require a written change request, revised timeline and additional fees. TVshuru will not be required to begin out-of-scope work until the parties approve it in writing.
6. Fees, invoicing and taxes
Customer will pay the implementation, subscription, usage, hardware and other fees stated in the Order Form. Unless stated otherwise, implementation fees are due on commencement, recurring fees begin on the agreed subscription or go-live date, and invoices are payable within 15 days of the invoice date. Fees are non-cancellable and non-refundable except as expressly stated in the Agreement or required by law.
Fees exclude GST and other applicable taxes, duties and levies. Customer is responsible for those amounts except taxes based on TVshuru's net income. Customer may withhold taxes only where legally required and will provide valid documentation of the withholding.
If an undisputed amount is overdue, TVshuru may, after reasonable notice, suspend non-critical Services until payment. Customer must raise a good-faith invoice dispute promptly and pay undisputed amounts when due. Purchase-order requirements do not alter the Agreement unless TVshuru agrees in writing.
7. Subscription term, suspension and termination
The Agreement begins when Customer first accepts these Terms or an Order Form and continues for the applicable subscription term. The initial term and any renewal terms are specified in the Order Form. If an Order Form is silent, the initial term is 12 months from go-live and renewal requires mutual written agreement.
After any agreed minimum term, either party may terminate ongoing Services on 30 days' written notice unless the Order Form provides otherwise. Either party may terminate for a material breach that remains uncured 15 days after written notice, or immediately if the other party becomes insolvent or ceases business.
TVshuru may suspend affected access where reasonably necessary to address a security risk, unlawful use, material breach, threat to the Services or overdue undisputed fees. Where practicable, TVshuru will give notice and limit the suspension to the affected portion.
On termination, Customer's right to use the Services ends and outstanding fees become due. Sections intended by their nature to survive - including payment, confidentiality, intellectual property, data ownership, disclaimers, indemnities, liability and general terms - will survive. Subject to legal and operational retention requirements, TVshuru will delete or return Customer Data in accordance with the Agreement and its retention practices.
8. Customer content, pricing and End User transactions
"Customer Content" means content, trademarks, photographs, menus, pricing, offers, notices, education materials, data and instructions supplied or approved by Customer. Customer retains ownership of Customer Content and grants TVshuru a worldwide, non-exclusive licence during the Agreement to host, reproduce, adapt, display and process it only as necessary to provide and improve the Services.
Customer is responsible for the legality, accuracy, completeness, accessibility and currency of Customer Content, including prices, availability, service descriptions, timings, policies, clinical or educational materials and offers. TVshuru may assist with content administration but is not responsible for errors in Customer-supplied or Customer-approved information.
Unless an Order Form expressly states otherwise, Customer and its existing operational systems remain responsible for products and services offered to End Users, order acceptance, fulfilment, safety, cancellations, refunds, taxes, guest or patient charges, disputes and regulatory obligations. TVshuru facilitates discovery, requests, routing or ordering workflows and is not the merchant, hotel, healthcare provider or fulfilment provider.
9. Data protection, security and data ownership
Each party will comply with applicable privacy and data-protection law, including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, in each case to the extent in force and applicable to that party's activities. Where TVshuru processes personal data on Customer's behalf, the parties will document their respective roles and processing instructions in an applicable data processing agreement or Order Form.
Customer is responsible for having a lawful basis, providing required notices, obtaining required consents, configuring appropriate access and retention, and ensuring it does not instruct TVshuru to process data unlawfully. TVshuru will maintain reasonable administrative, technical and organisational safeguards appropriate to the nature of the Services and data.
Customer retains ownership of its guest, patient, transaction, content and operational data submitted to the Services ("Customer Data"). TVshuru retains ownership of the Services, software, system data and underlying technology. TVshuru may generate and use aggregated or de-identified information for security, analytics, benchmarking, support and product improvement, provided it does not identify Customer or an individual.
The Services are not a substitute for Customer's required systems of record, backups or legally mandated records. TVshuru Care is a patient-engagement product, not a medical device, emergency system or replacement for clinical judgement, certified nurse call, an electronic health record or hospital safety procedures.
10. Confidentiality
Each party may receive non-public business, commercial, financial, technical, security, guest, patient or operational information from the other ("Confidential Information"). The receiving party will use Confidential Information only to perform or exercise rights under the Agreement, protect it using at least reasonable care, and disclose it only to personnel, professional advisers and subcontractors who need to know it and are bound by confidentiality obligations.
Confidential Information does not include information the receiving party can demonstrate was lawfully known without restriction, becomes public without breach, is received lawfully from another source, or is independently developed. A legally compelled disclosure is permitted if the receiving party gives notice where lawful and reasonable assistance at the disclosing party's expense.
11. Intellectual property and feedback
TVshuru and its licensors retain all rights in the Services, software, designs, interfaces, workflows, documentation, methodologies, models, improvements and related intellectual property. Except for the limited rights expressly granted, no rights are transferred to Customer.
Customer represents that it has the rights necessary for TVshuru to use Customer Content and Customer Data as permitted by the Agreement. If Customer gives suggestions or feedback, TVshuru may use them without restriction or payment, provided doing so does not disclose Customer Confidential Information.
12. Third-party systems, services and hardware
The Services may interoperate with televisions, media players, networks, PMS, POS, KOT, EHR, nurse-call, payment, messaging, mapping, booking, identity, cloud or other third-party systems. Availability and functionality may depend on those systems, their APIs, licences, approvals and Customer's vendor relationships. TVshuru is not responsible for third-party changes, outages, security, content, acts or omissions outside its reasonable control.
Third-party services are governed by their own terms and privacy policies. Unless expressly included in an Order Form, televisions, set-top boxes, casting devices, media players, networking equipment and other physical hardware are excluded and must be procured, installed and maintained separately.
13. Service availability, support and updates
TVshuru will use commercially reasonable efforts to keep the hosted Services available and provide the support stated in the applicable Order Form. Unless a signed service-level agreement states otherwise, the Services are provided without a guaranteed uptime or response time.
Planned maintenance, emergency maintenance, internet or power outages, Customer networks and devices, force-majeure events, misuse, and third-party failures are excluded from availability commitments. TVshuru may update the Services to improve functionality, security, compatibility or legal compliance. We will not materially reduce paid core functionality during a current subscription term without reasonable notice, except where needed for security, law or a third-party dependency.
14. Event, messaging and other additional services
Eventus or other event-specific planning, customisation, mobile or SMS communications, venue screens, live-event support, custom campaigns and on-site services are excluded from standard product subscriptions unless expressly included in an Order Form. They may be scoped and charged per event, location, usage or subscription.
15. Analytics, projections and performance
Analytics may depend on Customer configuration, device connectivity, integrations and data quality. Revenue scenarios, cost savings, engagement rates, benchmarks, conversion estimates, performance projections and potential uplift are illustrative and are not guarantees. Actual results depend on factors including audience behaviour, occupancy or footfall, pricing, offer selection, staffing, operational fulfilment, connectivity and Customer participation.
16. Warranties and disclaimers
Each party warrants that it has authority to enter into the Agreement. TVshuru warrants that it will provide professional services with reasonable skill and care. Customer's exclusive remedy for a proven breach of that warranty is re-performance of the affected professional service, provided Customer notifies TVshuru promptly.
Except as expressly stated and to the maximum extent permitted by law, the Services are provided "as is" and "as available". TVshuru disclaims implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, title and non-infringement, and does not warrant that the Services will be uninterrupted, error-free, meet every requirement or produce a particular commercial, operational or clinical outcome.
17. Indemnities
TVshuru will defend Customer against a third-party claim that Customer's authorised use of the Services infringes that third party's intellectual-property rights, and will pay damages finally awarded or agreed in settlement, provided Customer promptly notifies TVshuru, gives TVshuru control of the defence and settlement, and provides reasonable cooperation. TVshuru may modify or replace the affected Service or terminate it and refund prepaid fees for the unused terminated period. This obligation does not apply to claims caused by Customer Content, Customer instructions, unauthorised use, modifications not made by TVshuru, or combinations not supplied or approved by TVshuru.
Customer will defend and indemnify TVshuru against third-party claims arising from Customer Content, Customer's products or fulfilment, Customer's unlawful processing of personal data, Customer's breach of Section 4, or Customer's infringement of third-party rights, subject to equivalent notice, control and cooperation requirements.
Each party remains responsible for third-party claims resulting from its breach of confidentiality, unlawful processing of personal data or wilful misconduct to the extent provided by applicable law.
18. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profit, revenue, goodwill, anticipated savings, business opportunity or data, arising from the Agreement, even if advised that such loss was possible.
Except for liability that cannot lawfully be limited or excluded, each party's total aggregate liability arising out of or relating to the Agreement will not exceed the fees paid or payable to TVshuru under the affected Order Form during the six months immediately preceding the event giving rise to the claim.
Nothing in the Agreement excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that applicable law does not permit the parties to exclude or limit.
19. General terms
19.1 Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil disorder, labour disruption, government action, utility, internet or cloud outage, cyberattack not caused by its failure to use reasonable safeguards, or widespread third-party technology failure. The affected party will take reasonable steps to mitigate the impact.
19.2 Changes to these Terms
TVshuru may update these Terms by posting a revised version and changing the effective date. Material changes will apply at the next renewal unless required earlier by law, security or a third-party dependency. Continued use after the effective date constitutes acceptance. Changes to a signed Order Form require written agreement.
19.3 Governing law and jurisdiction
The Agreement is governed by the laws of India, without regard to conflict-of-law principles. Subject to any dispute-resolution process expressly agreed in an Order Form, the courts of competent jurisdiction in Bengaluru, Karnataka have exclusive jurisdiction.
19.4 Notices
Legal notices must be in writing and sent to the contact details in the Order Form and, for TVshuru, to support@TVshuru.com. Notices are effective on confirmed delivery. Routine operational messages may be sent through the Services or by email.
19.5 Assignment and subcontracting
Neither party may assign the Agreement without the other's prior written consent, not to be unreasonably withheld, except to an affiliate or in connection with a merger, reorganisation or sale of substantially all relevant assets, provided the assignee assumes the Agreement. TVshuru may use subcontractors to provide the Services and remains responsible for their performance to the extent required by the Agreement.
19.6 Entire agreement; no reliance
The Agreement is the entire agreement about its subject matter and supersedes prior discussions and representations. Each party acknowledges that it has not relied on a statement not expressly included in the Agreement. Purchase-order or vendor-portal terms do not modify the Agreement.
19.7 Waiver, severability and relationship
A waiver must be in writing and is not a continuing waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues in effect. The parties are independent contractors; the Agreement creates no partnership, agency, fiduciary or employment relationship, and no third party has enforcement rights unless the Agreement expressly says otherwise.
19.8 Order and proposal validity
A quotation, proposal or Order Form remains open for the validity period stated in it. If no period is stated, it expires 30 days after issue. TVshuru may withdraw an unsigned offer before acceptance.
